Following Knights plc's AGM held on 21st September 2021, please find below details of the questions raised and Knights' response.
- Q: In respect of Item 15, could you confirm if the Company will only use the shorter notice period where it is merited by the purpose of the meeting?
A: I can confirm that the Company will only use the shorter notice period where it is merited by the purpose of the meeting. This resolution was also proposed and passed last year but the shorter notice period was never warranted as this would only be used in very exceptional circumstances.
- Q: Resolution 13 does not confirm the Company’s intention to comply with the Statement of Principles published by the Pre-Emption Group to the extent that the Company proposes to issue more than 7.5% of the issued share capital within any three year rolling period.
A: It would always be the Company’s intention to consult with shareholder in connection with the use of this authority if it was to use more than 7.5% within a three year rolling period. Next year’s notice of AGM will make this clear. But also when publishing this year’s Results of AGM RNS if the resolution is passed this clarification will be provided.
