James is a Senior Associate in the Corporate team.

Experienced in the sale and purchase of businesses, corporate mergers and acquisitions, management buyouts, share sales and transfers, solvent corporate reorganisations, corporate governance and general company and partnership issues. James can also advise on AIM stock market listing, including raising capital through an initial public offering, preparing admission documents, assisting with due diligence, advising on directors’ liability and providing ongoing corporate support, for example with annual general meetings and reporting obligations.

Working for national public companies, national and international private companies, franchisors and franchisees and a range of SMEs and owner-managed businesses.  He has broad sector experience, including retail and leisure, estate and lettings agencies and manufacturing.

Recent examples of how James has supported clients include:

  • facilitating the sale of an English manufacturing company, with Polish and Indian subsidiaries, to a Polish buyer represented by Polish and English lawyers;
  • advising on the sale of a company by 35 shareholders under a management buyout where the transfer of shares had to occur in stages under an option agreement;
  • assisting a large retail franchisor to acquire a major stake in the business of a leading franchisee to enable the franchisor to take advantage of the significant growth opportunity in the London area; and
  • negotiating a deferred payment arrangement to ensure that a company director and shareholder was able to leave without putting the company in financial difficulty.
