Jonathan is an Associate in the Corporate team.

Supporting clients with a broad range of corporate work which includes mergers, acquisitions and disposals, management buy-ins and buy-outs, corporate restructuring (including hive-ups and share buy-backs), corporate governance, advice on corporate decision making, and corporate investments and other strategic projects.

While he supports clients across a range of sectors, he has a particular sector expertise in healthcare with a focus on dental practice acquisitions and disposals.

He provides pragmatic and commercial advice on all aspects of healthcare acquisitions and disposals including structuring the deal, drafting and negotiating appropriate terms, advising on funding, and navigating regulatory elements including applications for registration with the Care Quality Commission and the appropriate methods of transferring NHS contracts between service providers.

Clients include individual dentists buying and selling practices and dental corporate groups looking to expand their portfolios through acquisition.

Recent examples of how Jonathan has supported clients include:

  • working with a number of the largest dental groups in the UK supporting their acquisitions of multiple practices in different locations;
  • the sale of a large mixed-practice dental group in a deal worth £20 million; and
  • supporting numerous first time buyers purchasing dental practices, many requiring the transfer of an NHS dental contract.
