Nicola is an Associate in the Commercial and Data Protection teams.

She advises on commercial transactions, with particular experience in complex outsourcing and IT services agreements. She also advises clients on all aspects of compliance with data privacy regulations and is certified as a European Data Privacy Professional (CIPP/E).

Nicola has specialist knowledge in the IT, financial services, and facility management sectors. IT/IP experience includes drafting and negotiation of agreements for cloud hosting, data security, analytics, APIs, access management, platform as a service, cryptography for e-commerce, and CRM systems. Facility management experience includes security, mailroom/ couriers, cleaning, waste disposal and catering.

Clients include UK and international companies in facilities management, banking, fintech, IT services providers and manufacturing.

Having worked as an in-house counsel at the British Council, Nicola understands the need for legal advice that is simple, easy to communicate and which offers clear next steps and action owners.

Examples of how Nicola has supported clients include:

  • an assessment of an international IT Services provider’s data privacy program, preparation of documents including its Privacy Policy, an Intra-Group Data Processing Agreement for the multilateral exchange of personal data internationally and a risk assessment template for international transfers post Schrems II;
  • advising an international public company on the effect of outsourcing several key back office functions to India and Indonesia on its key client contracts including: advice on contractual restrictions on systems integration, licencing, and data privacy; advice on the actions needed to proceed; and preparation of papers for Board approval;
  • re-drafting a suite of procurement contracts for a global facilities management company which included a framework agreement, terms and conditions and various sector-specific commercial addendums;
  • supporting in-house legal functions on legal design work such as the preparation of contract standards to facilitate internal contract reviews by procurement/ contract management and drive down legal spend.
