Tom is a Partner in the Corporate team.
Assisting with non-contentious corporate transactions, acting for serial entrepreneurs, private equity-backed businesses, and institutional investors, startup founders and partners, as well as business angel networks and their investors.
Experienced in management buy outs and retirement sales, business acquisition and disposals including cross-border transactions, joint ventures, shareholder agreements and share disposals, joint property-development ventures, and technology collaboration projects.
Tom works with management teams and institutions, advises on private equity banking and acquisition finance, company reorganisation and restructure, the sale and purchase of insolvent company assets, corporate governance, directors’ obligations, and shareholder rights.
Working with the software and technology sector, Tom works with fast-growth businesses startups and scaleups, and he also works with clients in manufacturing and engineering, property development, medical devices, biotech and pharma, as well as fashion and sportswear.
Recent examples of how Tom has supported clients include:
- enabling a serial tech entrepreneur to exit from his business and pursue his next generation software free of constraints by selling his majority shareholding;
- facilitating the growth of a small startup into a £10 million sportswear brand business through investment, negotiating multiple rounds of financing from high-net-worth individuals and cornerstone investment from venture capital;
- successfully selling a print and packaging firm at a high-multiple valuation to a trade buyer within severe time constraints; and
- enabling a university spin-out business to develop and commercialise its intellectual property by negotiating for finance from external institutional investors.
