Bio

Sarah is a Disputes Partner.

Sarah advises shareholders and directors in high-stakes boardroom disputes where control, value and reputation are often at risk – with particular expertise in disputes arising under the Companies Act and Insolvency Act.

She specialises in complex shareholder and boardroom disputes, with particular expertise in unfair prejudice petitions and claims involving breaches of directors’ duties.

Sarah frequently advises directors, shareholders and connected parties in claims arising out of corporate insolvency – including misfeasance, wrongful trading and antecedent transactions, as well as in directors’ disqualification proceedings brought by liquidators and administrators.

She also advises on high-value professional negligence claims – particularly those involving solicitors, accountants and financial advisers – and undertakes broader commercial litigation and mediation work.

Examples of Sarah’s work include:

  • Advising a former company director facing multi-million pound claims for fraud, deceit and breach of directors’ duties linked to an alleged overdrawn director’s loan account, alongside connected unfair prejudice proceedings – involving two successful High Court hearings and an appeal to the Court of Appeal, ultimately settling on favourable terms at mediation.
  • Acting for former company directors in complex claims brought by administrators and assignees following corporate insolvencies, including allegations of wrongful trading, misfeasance, substantial overdrawn director loan accounts and related unfair prejudice claims under Section 994 of the Companies Act.
  • Acting in a large-scale, multi-party fraud claim involving numerous parties and multiple offshore jurisdictions, requiring coordination across legal teams and jurisdictions.
  • Advising the estate of a deceased director/shareholder in complex multi-company litigation involving HMRC, insolvency practitioners and intercompany claims following the collapse of a group of businesses.
  • Advising on high-value professional negligence claims against solicitors and accountants, including matters arising from failed tax schemes and negligent advice relating to seven-figure compensation awards.
  • Advising a director and shareholder in a professional negligence claim against accountants arising from the drafting and implementation of share option arrangements.
