Kieran is a Corporate Solicitor.
Kieran helps clients to navigate through complex tax rules whilst simultaneously achieving their commercial objectives in a practical and efficient manner. He advises businesses and individuals on the tax implications of corporate transactions.
His practice covers all stages of a transaction, from the initial structuring process and applications for relief through to negotiation of transactional documents and post-completion filings.
He regularly advises on mergers and acquisitions, including share and asset sales and purchases, management buyouts, joint ventures and investment transactions, ensuring that tax risks are identified and managed effectively.
He also has significant experience in corporate reorganisations, restructurings and group simplification projects, helping businesses optimise their tax position while aligning with wider strategic goals.
In addition, he advises on the tax aspects of real estate transactions (commercial and residential), including acquisitions, disposals, developments and property holding structures, with particular expertise in issues relating to SDLT, VAT and capital allowances.
Examples of Kieran’s work include:
- Preparing complex ad valorem stamp duty relief and exemption applications in multifaceted corporate transactions.
- Providing bespoke stamp duty land tax structuring advice in a variety of contexts (encompassing intra-group property transfers, ‘mixed-use’ property purchases and the movement of partnership property).
- Advising a client company on the utilisation of the Enterprise Investment Scheme to secure funding for expansion, drafting and submitting an Advance Assurance application to HMRC.
- Negotiating an Enterprise Management Incentive Scheme Document on behalf of the employee to ensure that provisions reflect the generous legislative changes that came into effect on 6 April 2026.
