Alan is a Corporate Senior Associate.
With more than 30 years’ experience, Alan specialises in advising businesses across a range of corporate, commercial, and employment matters.
Alan’s corporate work spans the sale and purchase of companies and businesses (including many international transactions involving English and Belgian companies), mergers and acquisitions, restructurings and reorganisations, share buy-backs, joint ventures, shareholders’ agreements, shareholder disputes, issues with directors and key employees, company formations and administration, limited liability partnership (LLP) agreements, general partnership agreements, partnership disputes, and enterprise management incentive (EMI) share option schemes, and other share schemes and incentives.
His commercial expertise encompasses all forms of contract drafting and advice, terms and conditions of business, agency agreements, and distribution agreements. With particular expertise in the franchising sector, Alan regularly acts for both franchisors and franchisees, and is a panel solicitor for several internationally-recognised franchise brands.
Alan’s employment practice includes directors’ service agreements, contracts of employment for key employees, confidentiality and restrictive covenants, restraint of trade issues, and the application and effect of the Transfer of Undertakings (Protection of Employment) Regulations 2006 (TUPE).
