Bio
Ben is a Corporate Senior Associate.
Ben advises owner-managed and growing businesses on a variety of corporate transactions across a wide range of sectors such as energy and sustainability, technology, agriculture and food supply, transport and private hire, healthcare-adjacent services and pharmacy, industrial gas and utilities, IT services, aviation, branded merchandise, tourism and manufacturing.
He has particular expertise working with family and owner-managed businesses navigating succession or a first sale, often alongside private client and tax colleagues to ensure the transaction structure works both commercially and financially for the individuals involved. Ben has experience in complex, multi-step transactions – including hive-ups, demergers and reorganisations – and in supporting management teams through buy-outs and buy-ins, including negotiating equity structures and debt funding arrangements with banks and other lenders.
Examples of Ben’s work include:
- Acting on the transfer of an international timber merchant in a family succession deal, working closely with private client specialists and tax advisers to achieve a tax-efficient transfer of the business to the next generation.
- Advising a company building a national platform in the private hire vehicle sector on a complex, multi-step £2.5 million share sale involving two hive-ups, an overarching share purchase agreement, and a sale-back of subsidiaries.
- Acting for the buyers on a £4 million management buy-in of a leading food distributor, structured with leveraged finance secured over the target’s debtor book.
- Acting on an £11 million sale of a Business Growth Fund-backed IT services company, including the pre-sale extraction of the overseas part of the business into a new company held by the individual seller.
