Joe is a Corporate Solicitor.
Joe has experience in providing advice to both companies and individuals on a range of corporate matters, with a particular focus on the dental and healthcare sectors.
He advises dentists on the sales and acquisitions of practices, through to incorporations and restructuring. As well as undertaking all the corporate work required for a transaction, he also advises on the dental-specific aspects of the deal, including NHS contracts and applications with the Care Quality Commission.
Joe also assists with corporate transactions, including both asset and share sales and purchases, assisting in all stages from heads of terms and initial due diligence, all the way through to drafting and negotiating of the sale and purchase agreement up to an including completion.
He also supports on shareholder and partnership agreements for new startups and existing businesses, and has experience in Dental Incorporations (selling a business to their limited company), share-for-share exchanges, restructures and refinances.
Examples of Joe’s work include:
- Facilitating a sole trader’s sale of their practice, assisting the client with the buyers’ due diligence requirements and negotiation of the sale and purchase agreement.
- Assisting a client in the purchase of a practice to add to their portfolio of practices, assisting them with due diligence enquiries, CQC applications and the transfer of the NHS contracts via the partnership route.
- Assisting a client in the sale of their practice to a limited company owned by them, which included a refinance of their current personal debt and new debt being taken out by the company.
