Sophie is a Corporate Partner.
Sophie advises across a range of corporate transactions including mergers, share and assets sales, acquisitions, shareholders’ agreements and articles of association, management buy-outs, demergers, capital reductions and complex group reorganisations, general corporate governance and board advisory matters.
Working with local, national and international clients, she supports public companies, SMEs, and international private companies with a UK presence across range of sectors including retail, manufacturing, cosmetics, agriculture, science and technology, aviation, transport and charities.
She has also worked with businesses operating overseas, including those based in the Netherlands, USA, China, Hong Kong, Spain and Germany.
Examples of Sophie’s work include:
- Supporting the sale of the entire issued share capital of an extensive pork farming business based in the West Midlands to a national field-to-fork business.
- Advising on the sale of entire issued share capital of an aviation software business, comprising innovative baggage management solutions to airports, airlines, and ground handlers globally, with headquarters in Oxfordshire, United Kingdom, and Sydney, Australia.
- Acting on the sale of the entire issued share capital of a large-scale sausage manufacturing, processing and distribution business to a national field-to-fork business.
- Overseeing the purchase of the entire issued share capital of a cloud, hardware, and IT support services business based in Bedfordshire by a US-owned print and IT services business.
- Assisting on the disposal of the entire issued share capital of a lifting and material handling equipment business by a Dutch-owned group.
