Jon is a Corporate Partner.

Jon advises businesses, shareholders, management teams and private equity investors on complex corporate transactions and strategic business matters.

His work spans mergers and acquisitions, business sales and purchases, private equity investments, shareholder arrangements and joint ventures, corporate reorganisations and restructuring.

He also deals with private equity investments, corporate finance and banking matters, where he provides advice for borrowers and lenders on facility and security arrangements.

He works with UK and European businesses across sectors including transport (automotive and aviation), manufacturing, technology, engineering, industrials, retail, franchising, and healthcare.

His clients include international groups, private equity funds, owner-managed and growth businesses, often where transactions involve cross-border considerations.

Examples of Jon’s work include:

  • Advising on the management buyout of a group of luxury car dealerships and providing ongoing general corporate advice to the group.

  • Advising a construction and maintenance business on a series of bolt-on acquisitions and subsequent group reorganisation.
  • Completing a complex cross-border company acquisition worth in excess of £10 million in under three weeks on behalf of a market-leading manufacturing company.
  • Negotiating the buyout by one shareholder of the other shareholder’s interest in a jointly owned (and deadlocked) private company which was in danger of being dissolved following a complete breakdown in trust and confidence between the parties.
  • Guiding a French manufacturing group through their first multi-million pound business acquisition in the UK, reconciling the differences between the legal systems of both countries.
  • Negotiating the sale of a group of distressed companies in the telecommunications sector in circumstances where relations between the shareholders had broken down.
