Ellen is a Corporate Partner.
Ellen advises on corporate matters spanning business formation and structuring options, governance, mergers and acquisitions, joint ventures, investment, company restructuring, group reorganisation, company share sales or buyback arrangements, and business asset disposals.
Ellen works with a diverse client base including business start-ups, entrepreneurs, owner-managed companies, partnerships, investors, and high-growth, scale-up, and large corporate businesses.
Her expertise includes working with franchisors to monitor corporate transactions between operators, supporting family businesses and investment companies with corporate governance, shareholders’ agreements, articles of association and succession planning, and advising charities, sports clubs, schools, not-for-profit organisations, and social enterprises on trading subsidiaries, charitable foundations, incorporation, and governance arrangements.
Examples of Ellen’s work include:
- Completing on the sale of shares in a company where the main business focus was managed IT services and included a number of global subsidiary companies in the group.
- Helping a group of property investment and management companies worth £8.7 million with a partial de-merger to achieve a tax-efficient exit for one of the shareholders.
- Completing a sale of shares in an online service provider for up to £25 million in very tight timescales as a significant step towards the sellers’ retirement.
- Supporting the in-house legal team of a Portuguese investment company on the English legal considerations arising from investments in tech companies.
- Supporting an independent school in a merger with a larger school to strengthen its offering and secure the investment needed to fund improved services and continued growth.
- Assisting a sports club with its plans to incorporate into a Charitable Incorporated Organisation (CIO) in order to recruit trustees and simplify property ownership.
- Acting on behalf of a franchisor to manage sales between operators and buy-backs of operations including multi-site transactions.
- Supporting various tech start-ups and high growth businesses with governance, investments, shareholders’ agreements, articles of association, share options, restructuring and shareholder exits.
