Jayne is a Corporate Associate.
Jayne advise across a range of corporate matters including acquisitions and disposals, group reorganisations, and restructures.
She works with a diverse client base ranging from local SMEs to national and international companies across a variety of sectors including professional services, hospitality, healthcare and education.
Her expertise includes general corporate law governance issues (including the preparation of articles of association and shareholder agreements for both start-up companies and established businesses), assisting on mergers and acquisitions on both the buyer and seller side; management buy-outs; general corporate advisory work; and reorganisations for companies.
She also assists sellers with due diligence exercises relating to the sale of their businesses.
Examples of Jayne’s work include:
- Disposing of a plumbing wholesaler to an AIM listed company.
- Negotiating a UK acquisition for a Japanese listed company.
- Negotiating multiple acquisitions of standalone engineering providers.
- Drafting all transaction documents for a restructure of a telecoms business.
- Drafting all transaction documents for the management buy-out of an engineering sector company.
- Restructuring a group of companies in the foster care sector.
