Chairman's Introduction

The Directors acknowledge the importance of high standards of corporate governance and have chosen given the Company’s size and the constitution of the Board to comply with the principles set out in the Corporate Governance Code for small and mid-sized companies published by the Quoted Companies Alliance in April 2018 (the QCA Code) as the basis of the Group’s governance framework.

The underlying principle of the QCA Code is to “ensure the company is managed in an efficient, effective and entrepreneurial manner for the benefit of all shareholders over the longer term”.  As Chairman, I am responsible for leading the board to ensure that it has in place the strategy, people, structure and culture to deliver value to its stakeholders and I am pleased to set out within our Report below how we comply with the QCA Code and where our practices depart from the QCA Code in more detail.

As the board is newly constituted following its recent IPO in June 2018 there have been no significant changes in its governance arrangements since this date, however the Board will be keeping any changes that may be required under regular review.
