Sam is an Associate in the Corporate team.

Sam has supported clients on a wide range of corporate transactions and advisory matters, including:

  • M&A transactions for buyer, seller(s) and individuals;
  • Corporate restructuring and re-organisations;
  • The buying and selling of assets;
  • Share/employment incentive schemes;
  • Shareholder, company and director strategic support and advice; and
  • general corporate governance, including drafting/putting in place bespoke articles of association and shareholder agreements.

Sam is known for using his commercial knowledge and pragmatic approach to providing solutions for his clients to achieve their desired results. Sam supports a wide range of clients across the UK ranging from local SME’s to large international organisations. Sam’s clients operate in a wide range of sectors including, professional services, education, defence, technology, retail, manufacturing and medical.  

Recent examples of how Sam has supported clients include:

  • Assisting the sellers of a south coast specialist defence manufacturer, working as part of the team which included colleagues across Knights such as property, employment, tax, competition, commercial and the corporate finance team supporting the deal to achieve the sale to a US buyer.
  • Leading on deals such as:

- the purchase of a children’s daycare nursery to grow a clients portfolio;

- the sale of a medical testing manufacturer to a European private equity backed group; and;

- the purchase of assets for an ambitious tree care company.   

  • Advising on a wide range of reorganisations such as group restructuring (to simplify group structure), buyback of shares (arising due to departing shareholders) and a demerger (to separate trading and investment aspects of businesses).
  • Assisting with the implementation of share/employee incentive scheme with the long term view of growing the client’s business to maximise sale prospects in the future.
  • Providing advice on general corporate law governance issues, including the preparation of bespoke articles of association and shareholders agreements for both start-up companies and established businesses.
  • Company succession planning.
