Ben is a Partner in the Corporate team.

He supports clients on a range of mergers and acquisitions on both buy and sell-side including share sales and asset purchases, management buyouts and buy-ins. In addition, Ben also assists with seed and series A funding rounds for new and fledgling businesses and corporate investment by private equity firms and venture capitalists. 

With a focus on commercially structuring deals, Ben negotiates relevant indemnities and warranties, prepares transactional documents and shareholder agreements, makes constitutional changes to companies and assists in setting up special purpose vehicles, joint ventures and other partnering arrangements.

Ben’s clients are based in the UK, China and South Korea and include national real estate and asset backed investment manager Long Harbour, Berkshire-based home and gardens trade supplier Eddingtons and international biotechnology investment company Inflectix.

Recent examples of how Ben has supported clients include:

  • completing the sale of custom display and lighting solutions company Selectronic Ltd to Anders Electronics plc, in a deal which needed to be completed on favourable terms and in a tight timeframe and before new rules reduced the lifetime allowance rates for entrepreneurs relief;  
  • supporting the outgoing shareholders in a law firm to negotiate acceptable terms for a management buyout where cash was in short supply and careful structuring was required to provide for the deferred consideration and limiting ongoing sellers’ liability;
  • structuring a deal between a university spin-out life sciences business and a Korea-listed international  pharmaceutical company to ensure that the investor gained a key management role which they viewed as essential to helping them secure significant capital growth; and
  • acquiring a £30 million real estate portfolio on behalf of Long Harbour.
