Fiona is a Partner in the Commercial team.
She works with businesses on the exploitation of their commercial intellectual property, in particular those companies that want to leverage a brand to grow through franchising and/or licensing in the UK or overseas.
Working with established global and national franchise brands, SMEs establishing or operating franchises and individual multi-unit and multi-brand operators she has experience working across a range of sectors: food and beverage, leisure, personal services, kids’ clubs, retail and care.
Her expertise spans all aspect of franchising from commencement to exit and drafts contracts and ancillary documents for franchising a business. She advises on franchise pilot start up arrangements, international franchising (both master franchise and area development), assignments, transfers and registration of trade marks, operational aspects of franchising, licensing arrangements, and hybrid joint venture structures. She also deals with issues around brand management and protection, such as copycat websites and domain names and is a British Franchise Association Qualified Franchise Professional.
Recent examples of how Fiona has supported clients include:
- managing the UK roll out of an Italian street food franchise by preparing a suite of contractual documentation for each franchise, brand protection advice and vetting franchisees and contract execution to protect the brand;
- accelerating the growth of a quick service restaurant operator from nine company-owned stores to a network of 22 franchises, advising on the development of the franchise concept, neighbourhood sites and area development including providing an overview of the franchise agreement at discovery days;
- enabling a giftware kiosk retailer to grow in the Middle East and Australia by offering advice on sub-franchise and seasonal operation licence arrangements; and
- facilitating the expansion of an upmarket blow-dry bar by advising on the franchisability of the pilot business, revising and updating franchise agreements in line with ethical and legal standards in the UK and undertaking roll out of documentation to potential franchisees.
