Jon is a Partner in the Corporate team.
He supports clients with shareholder and partnership agreements, company mergers and acquisitions, business sales and purchases, joint ventures and corporate reorganisations or restructures. He also deals with private equity investments, corporate finance and banking matters, where he provides advice for borrowers and lenders on facility and security arrangements.
His experience includes working with businesses across the UK and Europe which operate in a range of sectors, including technology, healthcare and franchising.
Jon’s current clients include PTV Group, a global provider of logistics software (part of the Porsche group); Frontmatec, a Danish provider of automation solutions for the food industry; Axcel, a Danish private equity fund; Jaffer Group, a group of opticians trading as The Eye Collective; and Swimtime, a children’s swimming lessons franchise.
Recent examples of how Jon has supported clients include:
- completing a complex cross-border company acquisition worth in excess of £10 million in less than three weeks on behalf of a market-leading manufacturing company, as part of a deal which hinged on a fixed deadline being met;
- negotiating the buyout by one shareholder of the other shareholder’s interest in a jointly owned (and deadlocked) private company which was in danger of being dissolved following a complete breakdown in trust and confidence between the parties;
- guiding a French manufacturing group through their first multi-million pound business acquisition in the UK, reconciling the marked differences between the legal systems of both countries; and
- negotiating the sale of a group of distressed companies in the telecommunications sector in circumstances where relations between the shareholders had broken down.
